1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you
(“Client,” “User,” or “you”) and Akhila Labs LLC (“Company,” “we,” “us,” or “our”),
a company registered in Wyoming, USA, with operations in India.

By accessing our website at www.akhilalabs.com,
engaging our Project Management Office (PMO), or using our software, AI, and embedded system
services (collectively, the “Services”), you agree to be bound by these Terms.

2. Description of Services

Akhila Labs provides technology consultancy and development services, including but not limited to:

• Custom Software & Web Development
• Artificial Intelligence (AI) & Machine Learning Solutions
• Embedded Systems & IoT Development
• Project Management Office (PMO) Consultancy

Specific deliverables, timelines, and costs will be outlined in a separate Statement of Work (SOW)
or Master Services Agreement (MSA). In case of conflict, the SOW shall prevail.

3. Intellectual Property Rights

A. Website Content

All website content including text, graphics, logos, images, and code is the property of Akhila Labs
and protected by applicable copyright and trademark laws.

B. Client Deliverables (Work for Hire)

• Client Ownership: Upon full payment, all final deliverables created for the Client
  shall be owned exclusively by the Client.
• Akhila Labs Rights: We retain rights to pre-existing code, tools, libraries, and
  background technology, granting the Client a perpetual, non-exclusive, royalty-free license
  as part of the deliverables.

4. User Obligations

• No illegal or unlawful use of Services
• No reverse engineering or decompiling software or firmware
• No interference with website security or operations

5. Payment and Invoicing

• Payment Terms: Defined in invoice or SOW (Net 15 / Net 30)
• Late Fees: May be charged as permitted by law
• Taxes: Client is responsible for all applicable taxes

6. Confidentiality

Both parties agree to protect confidential and proprietary information and not disclose such
information except as required for service delivery or by law.

7. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS-IS” AND “AS-AVAILABLE”.
AKHILA LABS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED,
INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE,
AND NON-INFRINGEMENT.

8. Limitation of Liability

IN NO EVENT SHALL AKHILA LABS BE LIABLE FOR INDIRECT, INCIDENTAL,
CONSEQUENTIAL, OR PUNITIVE DAMAGES.

Total liability shall not exceed the amount paid by the Client in the six (6) months
preceding the claim.

9. Governing Law and Dispute Resolution

• Governed by the laws of Wyoming, USA
• 30-day informal resolution period required
• Jurisdiction: Wyoming State or Federal Courts

10. Modifications to Terms

Akhila Labs reserves the right to update these Terms at any time. Continued use of the Services
constitutes acceptance of the revised Terms.
